1. Introduction

These Terms of Service ("Terms") govern your access to and use of the EXCH.BLACK platform ("Platform", "Service", "we", "us"). EXCH.BLACK is a non-custodial cryptocurrency exchange service. By using the Platform, you agree to these Terms in their entirety.

EXCH.BLACK operates under the jurisdiction of the Republic of Seychelles in compliance with applicable local laws and regulations.

2. Eligibility

By using this Service, you represent and warrant that:

You are at least 18 years of age (or the age of legal majority in your jurisdiction).
You are NOT a citizen, resident, or tax resident of the United States of America, its territories, or possessions.
You are not located in, or a citizen/resident of, any jurisdiction where the use of cryptocurrency exchange services is prohibited by law.
You are not subject to any sanctions administered by OFAC, the United Nations, the European Union, or any other applicable sanctions authority.
You are accessing the Service in compliance with all laws applicable in your jurisdiction.

3. Nature of Service

EXCH.BLACK provides a non-custodial, automated cryptocurrency exchange service. This means:

We facilitate peer-to-peer and algorithmic swaps between supported cryptocurrencies.
We do not hold, store, or custody your funds beyond the time necessary to complete a transaction.
We do not operate as a bank, financial institution, money services business, or investment platform.
We do not provide financial, investment, tax, or legal advice.

4. Privacy-First Approach

EXCH.BLACK operates under the principle of financial privacy as a fundamental right. In accordance with the laws of the Republic of Seychelles:

We do not require identity verification (KYC) for standard operations.
We do not perform AML screening on individual users.
We do not collect, store, or process personal identification documents.
Transactions are processed based on cryptographic addresses only.

This approach is lawful under our operating jurisdiction, which does not mandate KYC/AML procedures for non-custodial exchange services of our classification.

5. Prohibited Uses

You agree not to use the Service for:

Any activity that violates applicable laws in your jurisdiction.
Financing of terrorism, weapons proliferation, or human trafficking.
Exploiting minors in any way.
Interfering with or disrupting the Platform's infrastructure.
Attempting to reverse-engineer, decompile, or extract source code from the Platform.
Using automated tools (bots, scrapers) without prior written authorization.
Circumventing geographic restrictions or misrepresenting your eligibility.

6. Transactions

All exchange transactions are final and irreversible once confirmed on the respective blockchain.
Exchange rates are determined algorithmically at the time of transaction initiation and are subject to market fluctuations.
We are not responsible for delays caused by blockchain network congestion, hard forks, or other events outside our control.
Minimum and maximum transaction limits may apply and are displayed on the Platform.
Transactions that remain unconfirmed or unclaimed beyond the stated time window may be forfeited.

7. Fees

Exchange fees are transparently displayed before each transaction.
Network (miner/gas) fees are determined by the respective blockchain and are outside our control.
We reserve the right to adjust fee structures with reasonable notice posted on the Platform.

8. White-Label Partners

EXCH.BLACK may operate through authorized white-label partners who provide the Service under their own branding. These partners:

Are bound by the same Terms and Privacy Policy.
Do not independently collect user data beyond what is specified herein.
Operate under the same jurisdictional framework.

9. Intellectual Property

All content, design, code, trademarks, and branding associated with EXCH.BLACK are our exclusive property or licensed to us. You may not reproduce, distribute, or create derivative works without prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not guarantee the value, stability, or legality of any cryptocurrency in any jurisdiction.
We are not responsible for losses resulting from user error, including but not limited to sending funds to incorrect addresses or unsupported networks.
We are not liable for any losses arising from blockchain network failures, smart contract vulnerabilities, or third-party service disruptions.

11. Limitation of Liability

To the maximum extent permitted by law, EXCH.BLACK, its operators, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or digital assets, regardless of the cause of action.

Our total aggregate liability shall not exceed the fees paid by you to EXCH.BLACK in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless EXCH.BLACK, its operators, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

13. Dispute Resolution

Any disputes shall be governed by and construed in accordance with the laws of the Republic of Seychelles.
Disputes shall be resolved through binding arbitration administered under the rules of the Seychelles International Arbitration Centre (or equivalent body), conducted in English.
You waive any right to participate in class action lawsuits or class-wide arbitration.

14. Jurisdictional Isolation

14.1 No Nexus with United States Jurisdiction

EXCH.BLACK has never had and does not have any presence — legal, physical, or commercial — within the territory of the United States of America. Specifically:

We are not incorporated or registered in any U.S. jurisdiction (federal, state, or territorial).
We do not have servers, offices, employees, contractors, agents, bank accounts, or any other assets within the territory of the United States.
We do not engage in purposeful availment directed at the U.S. market.
We do not enter into contracts governed by U.S. law.
We do not accept payments in U.S. dollars through the American banking system.

14.2 Non-Recognition of Extraterritorial Jurisdiction

EXCH.BLACK does not recognize the jurisdiction of:

U.S. federal courts or state courts.
U.S. regulatory agencies, including but not limited to: SEC, FinCEN, CFTC, OFAC, IRS, DOJ, FBI.
U.S. legal process instruments, including subpoenas, search warrants, National Security Letters, FISA orders, and Mutual Legal Assistance Treaty (MLAT) requests, unless obtained through competent courts of the Republic of Seychelles in accordance with local law.

14.3 User Responsibility

Each user bears sole and full responsibility for compliance with the laws of their own jurisdiction. EXCH.BLACK does not provide legal advice and does not guarantee the legality of using the Service in your jurisdiction. Use of the Platform does not create any legal relationship between you and EXCH.BLACK beyond these Terms.

14.4 Force Majeure and Regulatory Risks

EXCH.BLACK shall not be liable for losses arising from:

Changes in legislation or regulatory policy of any jurisdiction.
Sanctions imposed on cryptocurrencies, blockchain networks, or specific addresses.
Actions by regulators, law enforcement agencies, or other governmental bodies of any jurisdiction.
Blocking of domains, DNS services, or network infrastructure by third parties.
Force majeure events, including but not limited to: wars, natural disasters, cyberattacks, internet infrastructure failures.

15. Good Faith and Lawfulness of Operations

15.1 Declaration of Lawfulness

EXCH.BLACK is a lawfully operating service conducting its business in full compliance with the laws of the Republic of Seychelles. The Platform:

Is registered and operates in a jurisdiction that permits non-custodial cryptocurrency exchange without mandatory licensing.
Provides an automated software service for exchanging one cryptocurrency for another, which does not constitute a financial service under the regulatory frameworks of most jurisdictions.
Operates transparently: terms of service, fees, limits, and risks are available to all users prior to using the Service.
Does not accept fiat currencies, does not open accounts, and does not custody user funds.

The absence of KYC/AML procedures is not an indicator of unlawful activity. It is a lawful choice of operational model consistent with the jurisdiction of registration.

15.2 Mandatory Pre-Dispute Resolution Procedure

In the event of any claims related to the operation of the Service, the user is required to:

Contact EXCH.BLACK support through the official communication channels listed on the Platform.
Provide a complete description of the issue, including the transaction identifier (if applicable).
Allow a reasonable response time (up to 72 hours).
If the outcome is unsatisfactory — initiate arbitration proceedings in accordance with Section 13 of these Terms.

Filing complaints with domain registrars, hosting providers, search engines, directories, social media platforms, or other third parties regarding the Platform without first completing the procedure described above constitutes a violation of these Terms.

15.3 Prohibition of False and Malicious Complaints

The user agrees not to:

Submit false, misleading, or unfounded abuse reports targeting EXCH.BLACK domain names, hosting, SSL certificates, or other infrastructure to domain registrars, hosting providers, certificate authorities, or other third parties.
Publish knowingly false information about the Platform, characterizing it as a "scam", "fraud", "phishing", or otherwise, without factual basis.
Initiate coordinated abuse campaigns aimed at disrupting the Platform's operations.
Misuse DMCA, UDRP, or similar procedures for bad-faith challenges to EXCH.BLACK domain names.
File knowingly false reports with law enforcement agencies regarding the Platform's activities.

Filing false abuse complaints constitutes an abuse of rights and may result in:

Immediate and permanent suspension of access to the Service.
Civil liability for damages caused (including lost profits, reputational harm, and legal defense costs) under the laws of the Republic of Seychelles.
Criminal liability for defamation and filing false reports under applicable law.

15.4 Notice to Domain Registrars, Hosting Providers, and Certificate Authorities

EXCH.BLACK hereby informs domain registrars, hosting providers, and SSL certificate authorities of the following:

The Service conducts lawful commercial activity under the jurisdiction of the Republic of Seychelles.
Non-custodial cryptocurrency exchange is not unlawful in this jurisdiction and does not require specialized licensing.
The absence of KYC/AML procedures is not grounds for classifying the service as fraudulent.
Third-party complaints that have not followed the mandatory pre-dispute resolution procedure set forth in these Terms should be treated as potentially malicious.
In the event of abuse complaints, EXCH.BLACK is prepared to promptly provide documentation confirming the lawfulness of its operations, including a legal opinion from a licensed attorney of the Republic of Seychelles.

15.5 User Acknowledgment

By using the Service, you acknowledge that:

You have familiarized yourself with the nature of EXCH.BLACK's operations and recognize that the Platform conducts lawful business.
You understand the risks associated with cryptocurrency exchange, including rate volatility and potential transaction processing delays.
Any claims against the Service will be pursued exclusively through the mechanisms provided in these Terms.
You will not characterize the Service as fraudulent solely on the basis of an unsatisfactory outcome of a specific transaction, rate fluctuation, or technical failure.

16. Backup Domains and Access Continuity

EXCH.BLACK may use multiple domain names, mirrors, and alternative access points (including Tor .onion addresses) to ensure uninterrupted Service availability. All such access points:

Are official and operated by the EXCH.BLACK operator.
Are governed by these Terms and the Privacy Policy.
Are not "clones", "phishing sites", or "fraudulent copies".

Information about current access points is published through EXCH.BLACK's official communication channels. The use of multiple domains is a standard practice for ensuring fault tolerance and does not indicate any bad faith.

17. Modifications

We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Platform. Continued use of the Service after changes constitutes acceptance. Material changes will be announced via the Platform with at least 7 days notice.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
